• Document Processing: Upload and analyze commercial real estate documents including offering memorandums, rent rolls, and related files
• AI Analysis: Receive AI-generated insights, data extraction, and analytical outputs from your uploaded documents
• Report Generation: Create and export financial models and analytical reports
• Workspace Management: Organize documents and analysis by property and transaction type
• Team Collaboration: Share workspaces and collaborate with team members within your organization

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. User Accounts and Registration

3.1 Account Creation

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Use a valid business email address
• Maintain the security and confidentiality of your password
• Notify us immediately of any unauthorized access to your account

Accounts are organized by organization. Users within the same organization may have different permission levels, including administrators with broader access to organization settings and activity.

4. Acceptable Use

• Share access credentials or workspace permissions with unauthorized parties

5. User Content and Ownership

5.1 Your Content

You retain all ownership rights to the documents and data you upload to the Service ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to:

• Store, process, and analyze your content to provide the Service
• Use third-party services, including AI providers, to process and analyze your content
• Generate reports, insights, and analytical outputs based on your content
• Display your content to you and authorized users you designate

This license terminates when you delete your content or account, except where retention is required by law.

5.2 Your Responsibilities

You represent and warrant that:

• You own or have the necessary rights to upload and process all User Content
• User Content does not violate any third-party rights, including copyrights, trademarks, privacy rights, or confidentiality obligations
• You have authority to share documents within your organization and with workspace collaborators
• User Content complies with all applicable laws and regulations

5.3 Confidentiality Considerations

While we implement appropriate security measures, User Content is processed by third-party services, including AI providers. You should not upload documents if you are contractually prohibited from sharing them with third-party processors. Review our Privacy Policy for more information about how we process your data.

6. AI-Generated Content

6.1 Nature of AI Outputs

Our Service uses artificial intelligence to analyze documents and generate insights. You acknowledge and agree that:

• AI-generated content may contain errors, inaccuracies, or inconsistencies
• AI outputs are probabilistic and should be independently verified
• The Service is a tool to assist your analysis, not replace professional judgment
• Automatically generated reports and models require human review and validation
• AI analysis may not capture all nuances or context from source documents

6.2 Output Ownership

Subject to your compliance with these Terms, you own the AI-generated analysis, reports, and models created from your User Content. We do not claim ownership of outputs derived from your documents.

6.3 No Accuracy Guarantees

We do not warrant or guarantee the accuracy, completeness, or reliability of:

• Data extracted from uploaded documents
• AI-generated insights or recommendations
• Financial calculations or projections in generated models
• Market analysis or property valuations

7. Intellectual Property

7.1 Service IP

The Service, including all software, algorithms, designs, interfaces, text, graphics, and other content (excluding User Content), is owned by Gideonn AI and protected by copyright, trademark, patent, and other intellectual property laws.

7.2 Trademarks

"Gideonn AI" and our logos are trademarks of Gideonn AI. You may not use our trademarks without our prior written permission.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them for any purpose without obligation or compensation to you.

8. Payment and Fees

8.1 Subscription Plans

Access to certain features or usage levels may require a paid subscription. If you subscribe to a paid plan:

• You agree to pay all fees associated with your selected plan

• All fees are non-refundable except as required by law or as otherwise stated

WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, timely, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• AI-generated content will be free from errors or omissions
• Defects will be corrected
• The Service or servers are free of viruses or harmful components
• Data will be permanently stored or available

You use the Service at your own risk. You are solely responsible for any damage to your computer systems or loss of data resulting from your use of the Service.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL GIDEONN AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, business opportunities, or anticipated savings
• Loss of data, documents, or information
• Investment losses or business decisions based on Service outputs
• Costs of substitute services or procurement
• Loss of goodwill or reputation
• Any other commercial damages or losses

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and whether or not we have been advised of the possibility of such damages.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

• Your User Content or any content you upload
• Your violation of these Terms
• Your violation of any rights of any third party, including intellectual property, privacy, or confidentiality rights
• Any business or investment decisions made based on Service outputs
• Your breach of any representations or warranties in these Terms

15. Termination

15.1 Termination by You

You may terminate your account at any time by contacting us at info@gideonn.ai. Upon termination, you should export any data you wish to retain.

15.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including for:

• Violation of these Terms
• Non-payment of fees
• Suspected fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Requests by law enforcement or government agencies
• Discontinuation or material modification of the Service

15.3 Effect of Termination

Upon termination of your account:

• Your right to use the Service immediately ceases
• We may delete your account, User Content, and associated data
• You remain liable for all fees and obligations incurred prior to termination
• Sections of these Terms that by their nature should survive will survive termination

We are not obligated to retain or provide access to your data after termination.

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles.

16.2 Arbitration Agreement

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in New York, NY.

YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.

16.3 Exceptions to Arbitration

Either party may seek injunctive or equitable relief in court for disputes involving intellectual property rights or unauthorized access to the Service.

17. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Gideonn AI.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Force Majeure: We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including third-party service outages, natural disasters, war, terrorism, labor disputes, or governmental actions.

No Agency: These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Gideonn AI.
